Terms of Service for Landscaping and Snow Removal Vendors
1. General Agreement
By accepting any work from Diaz Group LLC, including but not limited to landscaping or snow removal services, you, the vendor (“Vendor”), agree to these Terms of Service. Your acceptance of work, even without a signed contract, constitutes a complete and unconditional agreement to these terms.
2. Vendor Responsibility and Indemnification
You assume full responsibility for all claims, liabilities, damages, and expenses that arise from any work you perform. You agree to indemnify, defend, and hold harmless Diaz Group LLC, its officers, employees, and agents from any and all claims, whether for property damage or personal injury, that result from your actions or negligence.
3. Insurance Requirements
You must have a current Certificate of Insurance (COI) on file with Diaz Group LLC at all times. This COI must show adequate coverage for general liability, property damage, and personal injury, with Diaz Group LLC named as an additional insured. You agree to provide a copy of your COI upon request.
4. Deductions for Damages
You understand that Diaz Group LLC reserves the right to deduct any fees for outstanding expenses that may be incurred from damage you cause to any properties while performing services.
5. Arbitration and Governing Law
Any dispute related to this agreement will be resolved by binding arbitration in the State of Illinois. The decision of the arbitrator will be final. This agreement is governed by the laws of the State of Illinois, and any legal action must be brought in the federal or state courts located in Cook County, Illinois.
6. Limitation of Liability
Our services are provided on an “as is” and “as available” basis. Diaz Group LLC will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use of our services.
7. Modification of Terms
Diaz Group LLC reserves the right to modify these Terms of Service at any time. We will post
the updated terms on this page, and your continued use of our services means you accept
the new terms.
8. Severability
If any part of these terms is found to be invalid, the remaining provisions will stay in full
effect.
